CyperGlow Ambassador Program Terms and Conditions

A. Overview

This Agreement describes and provides the terms and conditions (the “Terms”) that
govern and apply to your participation in CG BUSINESS LLC’s (the “Company”, "we", "us" or “our”) Ambassador Program (the “Program”).

You may only participate in the Program if you are eighteen (18) years of age, or older.

You agree that your participation in the Program shall constitute express consent to
these Terms.

FAILURE TO COMPLY WITH THESE TERMS WILL RESULT IN IMMEDIATE
TERMINATION OF YOUR AMBASSADOR ACCOUNT AND ALL RELATED
PRIVILEGES, AS WELL AS FORFEITURE OF ALL UNPAID COMMISSIONS THAT
HAVE BEEN EARNED THROUGH YOUR PARTICIPATION IN THE AMBASSADOR
PROGRAM.

CyperGlow further reserves its right to pursue any and all claims, legal and equitable, that
may result from any violation of these Terms.
CyperGlow expressly reserves the right to modify these Terms at any time, with or without
notice to you. Your continued participation in the Program following any such change
shall constitute and evidence your agreement to any such modification to these Terms.

B. Your Ambassador Link and Commission

After you sign up for the Program and are accepted, we will provide you with a unique link to our site (your "Ambassador Link"). You will qualify to earn commission on qualifying purchases made through your Ambassador Link in accordance with the then-current commission structure, which we may update from time to time in our discretion by providing you reasonable advance notice. Subject to our approval, you may use certain graphics, logos, banners and other CyperGlow-related imagery made available to you as part of the Program (collectively, "CyperGlow Materials") to direct customers to your Ambassador Link, provided that such use is in accordance with these Terms.

C. Permitted Uses of Your Ambassador Link

Subject to these Terms, you may share your Ambassador Link on social media, in online advertising (subject to the terms in Section D below), and in other communications in a manner that is not misleading or deceptive.

You must comply with all laws, regulations, and Federal Trade Commission ("FTC") requirements when you share your Ambassador Link, including those governing advertising, endorsements, and testimonials. You must clearly and conspicuously disclose your relationship with CyperGlow and that you will earn commission if someone clicks on your Ambassador Link, in accordance with the FTC's Guides Concerning Endorsements and Testimonials in Advertising. These disclosures should be clear and prominent, and not buried in hashtags, a link, or the "more" button. Examples of disclosures you can use include: #CyperGlowPartner #ad #sponsored.

D. Prohibited Uses of Your Ambassador Link

You may not:

  • Bid on any CyperGlow trademarks (including any variations or misspellings thereof) for search engine or other pay-per-click advertising;
  • Use or register any domain containing any CyperGlow trademarks (including any variations or misspellings thereof) or any CyperGlow Materials for any purpose;
  • Publish, distribute, or otherwise make available any false or misleading information regarding us, our site, or our products;
  • Publish, distribute, or otherwise make available your Ambassador Link in any offline manner or medium, including in any offline advertisement, letterhead, business card, coupon or brochure;
  • Include your Ambassador Link in any page that contains or promotes any violent, discriminatory, pornographic, hateful, or otherwise objectionable content;
  • Include your Ambassador Link in any page that violates any applicable law, regulation, or third-party rights;
  • Use your Ambassador Link or the Program for any purpose that is fraudulent or otherwise illegal, or engage in any fraudulent or deceptive activity with respect to the Program, including creating multiple accounts, generating automated or fraudulent traffic or referrals, or misrepresenting your identity or your relationship with us;
  • Attempt to mask or hide your identity or your Ambassador Link, including by using link shortening services;
  • Send unsolicited or unauthorized email on behalf of CyperGlow, including promotions and/or advertising of CyperGlow products;
  • Make any health or medical claims about our products;
  • Make representations, warranties, or guarantees about products that are inconsistent with those on our website;
  • Use web scraping or web harvesting to extract data from the CyperGlow website; or
  • Engage in any other activity that may be harmful to us, including our reputation.

E. Representations and Warranties

By participating in the Program, you represent and warrant that:

  • You have the legal capacity to enter into these Terms and perform your obligations hereunder;
  • Your participation in the Program will not violate any agreement or obligation between you and any third party;
  • You will comply with all applicable laws and regulations in your performance under these Terms;
  • The information you provide in connection with the Program is accurate and complete;
  • You will not make any false or misleading statements about CyperGlow or its products; and
  • You will maintain the security of your Ambassador account and not share your login credentials with any third party.

F. Term

Your participation in the Program will begin when we accept your application and will continue until terminated. Either you or we may terminate your participation at any time and for any reason with or without notice. We may immediately terminate or suspend your participation in the Program if you violate these Terms or for any actions that may harm our reputation or business.

G. Protection of Confidential and Proprietary Information

During your participation in the Program, you may have access to our confidential or proprietary information, including information regarding our marketing strategies, customer information, sales data, product information, and other non-public information ("Confidential Information"). You agree to keep all Confidential Information strictly confidential and not to disclose it to any third party or use it for any purpose other than performing under these Terms. Your obligations under this section will survive termination of these Terms.

H. Indemnification

You agree to indemnify, defend, and hold harmless CyperGlow and its officers, directors, employees, agents, affiliates, successors, and assigns from and against any and all losses, damages, liabilities, deficiencies, claims, actions, judgments, settlements, interest, awards, penalties, fines, costs, or expenses of whatever kind, including reasonable attorneys' fees, arising from or relating to: (i) your breach of these Terms; (ii) your participation in the Program; (iii) your use of your Ambassador Link or CyperGlow Materials; (iv) any content you create or distribute in connection with the Program; or (v) your violation of any third-party rights or applicable laws.

I. No Publicity

Except as expressly permitted under these Terms, you may not issue any press release or make any other public communication with respect to these Terms or your participation in the Program, and you may not use our name in any publicity without our prior written consent.

J. Non-Disparagement

You agree not to disparage CyperGlow, its products, or its business practices in any manner likely to be harmful to them or their business, business reputation, or personal reputation.

K. Miscellaneous

Independent Contractor. Your relationship with us is that of an independent contractor. Nothing in these Terms creates a partnership, joint venture, agency, or employment relationship between you and CyperGlow.

Governing Law. These Terms shall be governed by the laws of the State of Wyoming, without regard to its conflict of law principles.

Entire Agreement. These Terms constitute the entire agreement between you and CyperGlow regarding the Program and supersede all prior agreements and understandings.

Severability. If any provision of these Terms is held invalid or unenforceable, the remaining provisions shall continue in full force and effect.

No Waiver. Our failure to enforce any provision of these Terms shall not constitute a waiver of that or any other provision.

Assignment. You may not assign or transfer these Terms or your rights under these Terms without our prior written consent. We may assign these Terms without restriction.

By participating in the CyperGlow Ambassador Program, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions.
